Haynes and Boone was founded fifty years ago by two corporate lawyers who focused on becoming trusted business advisors to their corporate clients. Since then, our national Corporate Practice has increased to more than 100 lawyers who advise clients on how to successfully conduct business in an increasingly complex, global and highly regulated market.

Our goal is to align our firm as a strategic partner with our clients, and we know that to do this, it is critical that we understand our clients’ businesses. We act as a team and involve the appropriate lawyers across our firm when matters arise, proactively ask questions and pinpoint issues that protect and enhance our clients’ businesses. Thus, we can deliver tailored, innovative solutions that streamline processes, create efficiencies, mitigate risk, introduce cost savings and maximize value for our clients.

Our team is widely recognized for their practical, skilled approach by publications such as Chambers USA, Corporate Board Member and M&A Advisor. Clients have recognized our lawyers for having “saved us millions in our processes by their ability to identify potential issues before the fact and create solutions to save significant sums.” (Chambers USA, 2019).

We represent some of the world’s leading public companies, ranging from U.S. small-caps to multinational large-cap corporations, as well as their senior executives and boards of directors. We also represent an array of other clients, ranging from entrepreneurs, family offices and startups, to private equity funds, venture capital firms and closely held corporations.

Our lawyers play key roles in helping our clients implement their business strategies and achieve their goals. We routinely:

  • Assist with initiating, structuring, financing and closing deals to buy and sell companies
  • Help form companies and raise initial capital
  • Assist with structuring and completing a broad range of capital raise transactions as well as liability management transactions.
  • Advise on reporting, disclosure and other compliance requirements
  • Counsel and train executives and boards of directors on corporate governance and compliance with fiduciary duties
  • Counsel clients on routine and non-routine issues
  • Assist with commercial contract strategies and streamlining processes
