• Biography

    Greg Kramer is a go-to transactional lawyer for a wide array of clients who trust him with some of their most important and challenging deals. Greg’s practice focuses on private investments in public equity (PIPEs), registered direct offerings, corporate finance and mergers and acquisitions. With experience representing both issuers and investors, Greg understands deals from the perspective of each party, making him a skilled and effective negotiator. A savvy adviser, Greg also provides his clients with keen insight on the business aspects of transactions.

    Greg’s experience includes acting for the lead investors in a $10 million investment in convertible preferred stock and warrants of a NASDAQ-listed biopharmaceutical company, a $60 million investment in convertible notes of a TSX-listed oil and gas company, a $100 million investment in convertible notes of a NYSE-listed gold and silver mining company, a $15 million dollar investment in the convertible notes of a NYSE MKT listed gold mining company, and a $22 million investment in the convertible notes of an electronic cigarette maker. Greg also represents public companies in connection with secondary public offerings, mergers and acquisitions, PIPEs and corporate finance matters.

    Greg was recognized for his work in the New York City legal community and was named in New York Super Lawyers Rising Stars, Thomson Reuters, 2014-2017.
